3. Description of services
3.1 Payment orchestration
ClearBox provides payment orchestration services to Merchants. This includes submitting Merchant information to one or more Processing Partners for underwriting review, coordinating Gateway integration, and presenting a unified Merchant-facing interface for payment processing activity.
3.2 What ClearBox is NOT
ClearBox does not:
- Act as a payment processor, acquiring bank, or card network
- Hold, custody, or transmit Merchant funds
- Issue Merchant accounts or Merchant Identification Numbers directly
- Guarantee approval, specific pricing, or processing terms from any Processing Partner
- Act as a money services business, broker-dealer, or licensed financial institution
- Act as merchant of record for any transaction
3.3 Service scope
Services may include submission of Merchant applications to one or more Processing Partners, coordination of Gateway account setup, routing configuration between the Gateway and approved Processing Partners, Stablecoin Settlement, transaction data aggregation and reporting, and compliance monitoring support.
Specific pricing, processing rates, and service levels are governed by the applicable Service Agreement, Letter of Intent, or Processing Partner agreement, which shall control in the event of any conflict with these Terms.
3.4 Stablecoin settlement
ClearBox provides stablecoin settlement services through a correspondent partnership with Cross Mint. ClearBox is not a licensed money transmitter and does not itself hold a money transmission license. Stablecoin Settlement is provided under and subject to Cross Mint's applicable licenses. ClearBox does not custody Stablecoins on your behalf and does not guarantee Stablecoin Settlement outcomes, timing, or value stability.
3.5 Stablecoin and digital asset risk disclosure
You acknowledge that Stablecoin Settlement involves risks materially different from traditional card payment processing, including but not limited to blockchain network failures or congestion, smart contract vulnerabilities, regulatory changes affecting the treatment of digital assets, Stablecoin de-pegging or value instability, irreversibility of Stablecoin transactions once confirmed on the applicable network, and the Correspondent Partner's performance and availability. Stablecoin Settlement is not FDIC insured and is not subject to the same regulatory protections as traditional bank deposits or card network transactions.
4. Eligibility and onboarding
4.1 Merchant qualification and representations
To use the Services, you must be a business entity in good standing, have authority to bind your business to these Terms and any Service Agreement, and provide accurate and complete business, financial, and identity information as requested by ClearBox or any Processing Partner.
You represent and warrant to ClearBox on an ongoing basis that all information you provide is accurate, complete, and not misleading, that you hold all licenses and registrations required to operate your business, that you are not engaged in any activity prohibited by ClearBox, any Processing Partner, or applicable law, and that you will promptly notify ClearBox of any material change to your business or compliance status.
4.2 Authorization to submit applications
By submitting your business information to ClearBox, you authorize ClearBox to submit that information, on your behalf, to one or more Processing Partners for the purpose of underwriting review and Merchant account approval. You understand that ClearBox may submit your information to multiple Processing Partners simultaneously for purposes of establishing redundant processing capacity.
4.3 Right to refuse
ClearBox reserves the right to decline to submit, or to discontinue submitting, any Merchant application for any reason, including insufficient documentation, adverse risk profile, or inability to identify a suitable Processing Partner.
4.4 Underwriting determinations
Approval, denial, pricing, and terms of any Merchant account are determined solely by the applicable Processing Partner, not by ClearBox. ClearBox has no authority over and makes no representation regarding a Processing Partner's underwriting decision.
5. User obligations
5.1 Compliance responsibility
You are solely responsible for compliance with all applicable laws and regulations governing your business, maintaining accurate and current information with ClearBox and any Processing Partner, securing your account credentials, and reporting suspicious or unauthorized activity.
5.2 Prohibited activities
You may not use the Services for any unlawful purpose, misrepresent your identity, business activity, or authority, submit false or misleading information during onboarding, engage in fraud or money laundering, interfere with the Services or Gateway infrastructure, or use the Services in any manner inconsistent with these Terms or your Processing Partner agreement.
5.3 Processing Partner relationship
You acknowledge that your ongoing merchant account relationship, once approved, exists between you and the applicable Processing Partner. ClearBox facilitates that relationship but is not a party to your processing agreement with any Processing Partner. Compliance with the Processing Partner's terms, reserve requirements, and chargeback thresholds is your responsibility.
6. Intellectual property

ClearBox retains the right to store and retain Transaction Data associated with your account for the duration of your use of the Services and for a commercially reasonable period thereafter, for purposes including compliance recordkeeping and internal business intelligence. You are granted a limited right to access your own Transaction Data for your internal recordkeeping needs.
8. Fees and payment
8.1 Fee structure
Fees for Services are established by separate agreement between you and ClearBox, and are separate from any processing fees, interchange fees, or charges assessed by a Processing Partner. Fee structures may include application or onboarding fees, flat monthly fees per processing pipe, or other structures as agreed in writing.
8.2 Processing Partner fees
You acknowledge that fees charged by any Processing Partner, including interchange, assessment, and reserve requirements, are separate from ClearBox's fees and are governed by your agreement with that Processing Partner.
9. Disclaimers and limitations of liability
9.1 No warranties
THE SITE AND SERVICES ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
9.2 No guarantee of approval or terms
ClearBox does not guarantee that any Merchant application will be approved by a Processing Partner, that any specific pricing or rate will be offered, or that an approved Merchant account will remain in good standing. Underwriting decisions rest solely with the Processing Partner.
9.3 Third-party services
ClearBox is not responsible for the actions, failures, or decisions of any Processing Partner, Gateway provider, or other third-party service provider, including Cross Mint as Correspondent Partner. ClearBox is not responsible for any delay, error, or disruption in Stablecoin Settlement. You are solely responsible for your relationship and compliance standing with any Processing Partner or Correspondent Partner.
9.4 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARBOX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES. CLEARBOX'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO CLEARBOX IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless ClearBox and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Services, your violation of these Terms or applicable law, inaccurate information you provide, or your relationship with any Processing Partner or Correspondent Partner. This obligation survives termination of these Terms.
11. Confidentiality
Each party agrees to maintain the confidentiality of non-public business, financial, and technical information disclosed by the other party, and to use such information only for purposes authorized under these Terms.
12. Modifications to terms and services
ClearBox may modify these Terms at any time by posting updated Terms on the Site with a revised effective date. For material changes, we will provide notice at least 30 days before the effective date. Continued use of the Services after changes constitutes acceptance.
